7Social Affiliate Program Agreement
For the Marketplace Listing Tool (MLT)
Effective Date: Aug 4th 2025
This Affiliate Program Agreement (“Agreement”) is entered into by and between 7Social LLC, a Florida limited liability company (“Company”), and the participating individual or entity (“Affiliate”).
By joining the MLT Affiliate Program, Affiliate agrees to the following terms and conditions.
1. Affiliate Commission Structure
1.1 Commission Rate
Affiliate earns 50% of net revenue generated from customers they directly refer to the Marketplace Listing Tool (MLT).
1.2 Recurring Payments
Commissions are paid monthly on collected revenue only. Commissions continue as long as the referred customer remains active and paying.
1.3 Payment Timing
Commissions are issued within 15 business days following the end of each calendar month.
2. Tracking & Attribution
2.1 Referral Method
Affiliates receive a unique referral link or code. All sign‑ups must use this to be credited to the Affiliate.
2.2 Attribution Window
Referrals are tracked using a 90‑day cookie window. The most recent referring Affiliate receives credit.
3. Exit Bonus Pool for Top Affiliates
In the event of a sale, merger, or acquisition of the Marketplace Listing Tool, 7% of net exit proceeds will be allocated to a dedicated Affiliate Bonus Pool.
3.1 Eligibility
To qualify, Affiliate must:

Have referred at least $100,000 in total gross revenue, and

Have been an active affiliate for at least 3 months prior to the exit date.
3.2 Payout Formula
Each eligible Affiliate earns points based on total referred revenue:
Revenue RangePoints per $1,000
$100K–$199K 1.25 pts
$200K–$499K 1.5 pts
$500K–$999K 1.75 pts
$1M+ 2 pts
Each Affiliate’s pro‑rata share of the pool is calculated based on total points.
3.3 Payout Timeline
Exit bonus payouts will be made within 30 days of the closing of the transaction.
4. Termination
4.1 Termination Rights
Either party may terminate this Agreement at any time, with or without cause, by giving written notice.
4.2 Post‑Termination Payments
If Affiliate is terminated (other than for cause), they will continue to receive commissions for 60 days on any active customers whose payments are received during that window. No further commissions are due thereafter.
4.3 Termination for Cause
If terminated for violations of this Agreement (e.g., fraud, misuse), Affiliate forfeits all unpaid commissions immediately.
5. Intellectual Property Rights
All software, workflows, platform logic, branding, AI prompt structures, marketing materials, and documentation related to the Marketplace Listing Tool remain the exclusive property of 7Social LLC.
Affiliate agrees to:

Not copy, reverse‑engineer, clone, or create derivative works based on Company systems or processes

Not use Company strategies, training materials, or onboarding flows to build or advise competitive tools

Not misrepresent themselves as the creator or developer of the Marketplace Listing Tool
6. Use of Confidential Information and Company Data
6.1 Confidentiality
Affiliate agrees not to disclose, share, or use any non‑public Company information—operations, strategies, systems, or customer data—except as necessary to promote MLT.
6.2 Data Use Restrictions
All customer data, campaign metrics, CRM data, and internal analytics belong exclusively to the Company. Affiliates may not export, repurpose, or analyze this data to build or advise similar tools.
6.3 Trade Secrets & Know‑How
Affiliate agrees not to use Company processes (sales flows, positioning strategies, onboarding tactics) for competing or derivative projects.
7. Representation & Branding
Affiliate may not:

Present themselves as creator or technical developer of MLT

Rebrand, white‑label, or modify any MLT assets or content

Use Company trademarks or branding outside of approved marketing materials
8. Limitation of Liability
Company shall not be liable for indirect, incidental, or consequential damages (including lost profits) arising from participation in the Affiliate Program.
9. Modifications
The Company reserves the right to modify this Agreement at any time. Affiliates will be notified via email or affiliate dashboard. Continued participation constitutes acceptance of updated terms.
10. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved in courts located in Brevard County, Florida.
